Carbonetti e Associati advises Garofalo Health Care S.p.A. on the acquisition of Casa di Cura Malatesta Novello
Carbonetti e Associati advised Garofalo Health Care S.p.A., a company listed on the Euronext STAR Milan segment, on the execution of a binding agreement for the acquisition of the entire share capital of Casa di Cura Malatesta Novello S.r.l., a healthcare facility accredited with the Italian National Health Service (SSN), based in Cesena and providing both inpatient and outpatient healthcare services, under both accredited and private arrangements.
The transaction also includes the acquisition of the related property, covering approximately 6,600 sqm, pursuant to a simultaneous preliminary real estate sale and purchase agreement entered into by GHC’s subsidiary GHC Real Estate S.p.A.
The transaction has an enterprise value of €69.3 million.
Carbonetti e Associati advised GHC alongside its in-house legal team, comprising General Counsel Giulia Scirpa and Head of Group Corporate Affairs Antonio Zaffina, through a multidisciplinary team coordinated by Partners Luca Pasquini and Rocco Santarelli, and comprising Giorgio Politano and Davide Turco for corporate and M&A matters, Giovanni Sciacca for real estate matters, Paola Primerano for data protection matters, and Valeria Valentini for compliance with Legislative Decree 231/2001.
