Carbonetti and Associates had the privilege of contributing to the transaction between TIM and Kohlberg Kravis Roberts & Co. L.P. (KKR) for the sale of fixed network assets, approved by the TIM Board of Directors on November 5, 2023.
The Carbonetti and Associates team, led by partners Salvatore Providenti and Fabrizio Carbonetti, specifically assisted the independent directors (10 out of the total 15 board members) in the legal evaluation of offers and all the complex aspects related to the approval process, within the specific industrial and financial context of TIM.
Within this scope, significant legal issues were examined, including, for example, those related to the role of independent directors in evaluating operations, the relationship between the responsibilities of the board and the extraordinary or ordinary general assembly, the limits of the applicability of regulations on transactions with related parties, and rules regarding engagement.
