Banca del Fucino and Worldline have signed an agreement for the transfer of the merchant acquiring business on the domestic circuit of Banca del Fucino to Worldline Merchant Services Italia (Italian subsidiary of Worldline), followed by a long-term commercial partnership for the distribution of Worldline’s payment products and services through the Banca del Fucino network.
The transaction is subject to obtaining the required authorisations from the relevant authorities.

Banca del Fucino was assisted by the law firm Carbonetti for the legal aspects, with a multidisciplinary team led by partner Francesco Selogna, and composed of lawyers Francesca Tanzi Marlotti, Giorgio Politano and Annateresa Chimenti.
Worldline was assisted by Cleary Gottlieb Steen & Hamilton for the legal aspects, with a team comprising partner David Singer and associate Giulia Rimoldi for the M&A aspects of the transaction, and counsel Laura Prosperetti, associate Alberta Giannotti and trainee Ludovico Scassellati for the financial regulatory profiles. The Cleary Gottlieb team worked closely with Worldline’s in-house team, consisting of Benjamin Thorez (group head of governance, legal m&a and corporate affairs) and Flora Boillaut (governance, legal m&a and corporate affairs legal counsel).
